IVS: You can still make it
Entrepreneurial companies (IVS) must be reported for dissolution or re-registration as an ApS no later than October 15. Otherwise, you risk compulsory dissolution. An alternative can be dissolution by declaration of payment.
If you are struggling to meet the deadline and want to dissolve your IVS, you can either on your own or through your accountant investigate the possibility of dissolving the company with a payment declaration.
This means that the shareholder declares to the Danish Business Authority that all debts - both due and undue - have been paid and that it has been decided to dissolve the limited liability company.
You can start closing an IVS with a payment declaration
Normally, it can take up to six months to get a payment declaration from Skat, but the Danish Business Authority has made it possible to start the closure of IVSs based on the owners' own declaration if you can also submit a receipt that you have requested Skat for a declaration under section 216 of the Companies Act - a so-called receipt.
When the company later receives the final declaration from Skat, it must be forwarded to the Danish Business Authority. If the declaration meets the conditions, the company will be deleted from the company register.
The Danish Business Authority must have a signed payment declaration + application for receipt from Skat no later than October 15, 2021.
Best suited for smaller IVSs with high clarity
Compared to a compulsory dissolution, dissolution by declaration of payment is a socially inexpensive solution. It is also an uncomplicated way to dissolve a company.
On the other hand, this form of dissolution requires that the shareholders are personally, jointly and unlimitedly liable for any future claims. Therefore, payment declarations are best suited for smaller companies with a high level of clarity about their obligations.
